Terms of sale
These terms apply to quotations, orders and deliveries from Pheromone Insect unless a signed supply agreement says otherwise.
1. Quotations
A quotation is valid for 30 days from its date unless it states otherwise. Prices are quoted per unit of weight, exclusive of freight, insurance, duties and taxes, which are shown separately where applicable.
2. Orders
An order becomes binding when we issue a written order confirmation or a proforma invoice that you accept. Orders for custom-synthesised material become binding once the specification has been agreed in writing, because production cannot be resold to another customer.
3. Specification and analysis
The specification on the quotation is the agreed specification. Each batch is released against a certificate of analysis stating the analytical method and the measured value for every parameter. The COA accompanying the shipment is the reference document for acceptance.
4. Samples
Samples are supplied for evaluation only and may not be resold. Sample quantities are documented on their own COA and do not automatically represent the specification of a commercial batch.
5. Delivery and risk
Delivery terms follow the Incoterm stated on the quotation. Where no Incoterm is stated, goods are supplied ex works. Risk passes as defined by that term. Any visible damage or shortage must be noted on the carrier's delivery document at the time of receipt.
6. Inspection and claims
Please inspect the goods on arrival and notify us of any non-conformity within 14 days of delivery, quoting the batch number and retaining the original packaging. Claims relating to latent defects are handled under the warranty in clause 7.
7. Warranty
We warrant that the goods conform to the agreed specification at the time of dispatch. If a batch does not conform, our obligation is, at our option, to replace the material or to refund the invoiced value of that batch. This warranty does not cover material that has been stored or handled contrary to its safety data sheet.
8. Intended use and customer responsibility
Products are supplied for professional and industrial use. The customer is responsible for verifying suitability for their intended application, for compliance with the regulations of the destination market, and for ensuring that any formulated product is registered where registration is required.
9. Safety
Handle the material in accordance with the safety data sheet. Where a product is classified as hazardous, the customer confirms that personnel are trained and that the receiving site is equipped for the material.
10. Payment
Payment terms are stated on the quotation. Where payment is not received by the due date we may suspend further deliveries and charge interest on the outstanding amount at the rate permitted by the applicable law.
11. Cancellation
Orders for catalogue items may be cancelled before dispatch, subject to the cost of any work already carried out. Orders for custom-synthesised material cannot be cancelled once production has begun, except where we agree in writing.
12. Liability
Our liability arising from any order is limited to the invoiced value of the goods concerned. We are not liable for indirect or consequential loss, including loss of profit or of production, except where the law does not allow that limitation.
13. Force majeure
Neither party is liable for delay caused by events outside its reasonable control, including natural events, transport disruption, regulatory action and industrial action.
14. Confidentiality
Each party keeps confidential the technical and commercial information it receives from the other. Customer structures, formulations and applications are treated as confidential by default, and a written non-disclosure agreement can be signed on request.
15. Governing law
These terms are governed by the laws of the People's Republic of China. The parties will seek to resolve any dispute by negotiation before resorting to arbitration or litigation.
